Company Registration in Zhanjiang, China

Zhanjiang sits on the Leizhou Peninsula in western Guangdong, facing the Qiongzhou Strait and the South China Sea. It is a port and heavy-industry city — steel, petrochemicals, marine equipment, port logistics and aquaculture — and it is also the anchor city of the Guangdong-Hainan connectivity agenda. For foreign founders, Zhanjiang is not a substitute for Shenzhen or Guangzhou; it is a place to register when your customers, suppliers or operations are actually there. This page explains how foreign-invested entity registration works in practice, what documents you will need, and where founders commonly lose time.

Why register in Zhanjiang

Zhanjiang is a working port city, not a services hub. Its economy is built around the Port of Zhanjiang, the steel and petrochemical complexes on the Donghai Island side, marine engineering and shipbuilding, seafood and aquaculture processing, and agricultural trade from the Leizhou Peninsula. If your business touches any of these — equipment supply, trading, logistics, inspection, cold chain, industrial services — a local entity puts you closer to the counterparties you already deal with.

Practical reasons founders choose Zhanjiang:

  • Port access: deep-water berths and direct sea links to Hainan and Southeast Asia shape import/export planning.
  • Industrial buyers: large plants and their supplier networks need qualified vendors with a local invoicing entity.
  • Cost base: office and industrial rents are generally lower than in the Pearl River Delta core.
  • Hainan link: the Hainan Free Trade Port is a short strait crossing away, which matters for some trading and processing models.

Be realistic: English-speaking staff, international schools and a mature foreign business community are thin compared with Guangzhou or Shenzhen. Plan for local hiring and Mandarin-capable management.

Entity options: WFOE, JV and representative office

Foreign investors in Zhanjiang normally choose between three structures. The right one depends on whether you need to invoice, hire and hold a licence, or only to liaise.

  • WFOE (Wholly Foreign-Owned Enterprise): a Chinese limited liability company owned 100% by foreign shareholders. It can sign contracts, issue fapiao, hire staff and apply for sector licences. This is the default for trading, manufacturing, logistics and service businesses.
  • Sino-foreign JV: a company shared with a Chinese partner. Useful where a local partner brings land, a licence, a customer base or government relationships — common in industrial and port-adjacent projects. Governance, capital contribution and exit terms must be drafted carefully; JV disputes are the most expensive kind.
  • Representative office (RO): a liaison presence only. An RO cannot earn revenue, invoice or employ staff directly in the usual sense. It suits market research or supplier coordination, not trading.

Whatever the structure, check your activity against the national negative list for foreign investment before committing. Activities outside the list are generally open; restricted or prohibited activities need a different plan.

The five-step registration process

The sequence below is the standard path for a WFOE in Zhanjiang. Steps can overlap, and sector licences add time.

  • Step 1 — Name pre-approval and scope check. Reserve a Chinese company name with the Zhanjiang AMR and confirm your intended business scope wording. Prepare two or three name options; generic or famous names are rejected.
  • Step 2 — Foreign investment filing. Submit the MOFCOM foreign investment information report through the national online system. This is a filing, not an approval, for activities outside the negative list.
  • Step 3 — Business licence. File incorporation documents with the AMR and obtain the unified business licence (营业执照). This is the moment the company legally exists.
  • Step 4 — Seals and post-setup registrations. Have the company seals carved at an authorised shop, then complete tax registration, social insurance and housing fund enrolment, and foreign exchange registration.
  • Step 5 — Bank account and capital injection. Open the RMB basic account and the foreign currency capital account, then remit registered capital as scheduled in the articles.

Do not book travel or sign a lease on the assumption of a fixed completion date. Ask your local adviser for a realistic sequence for your specific scope.

Documents foreign founders must prepare

Document quality is the single biggest determinant of how smoothly a Zhanjiang registration moves. Chinese authorities require notarised and, where applicable, legalised or apostilled corporate documents from the home jurisdiction. Prepare these before you start.

  • Shareholder documents: certificate of incorporation, articles, register of directors and a board resolution approving the Zhanjiang investment — notarised and legalised/apostilled.
  • Passport copies of legal representatives, directors and supervisors, plus a Chinese-language translation where needed.
  • Proof of registered address: lease agreement and the landlord's property certificate for the Zhanjiang office.
  • Articles of association for the new company, in Chinese, covering capital, governance and profit distribution.
  • Capital and funding evidence: bank reference or source-of-funds statement for the foreign currency capital account.
  • Name reservation form and the completed foreign investment information report.

Translations should be done by a recognised translation agency and stamped. Keep multiple originals; several offices will retain copies during the process.

Registered address, business scope and sector licences

Your registered address (注册地址) must be a real, documented premises in Zhanjiang that the AMR accepts for your activity. Landlords should provide a property ownership certificate and a lease stamped for commercial use. Virtual or mailbox addresses are widely used in some cities but are risky in a prefecture-level city with active on-site checks; confirm with the district AMR before relying on one.

Business scope (经营范围) is written in standard Chinese categories. Draft it to cover what you will actually do — trading, import/export, technical services, equipment repair, logistics consulting — because banks and tax authorities read it closely. Too narrow and you cannot invoice; too broad and you invite questions.

Sector-specific licences are separate from the business licence. Examples that arise in Zhanjiang:

  • Food and seafood trading or processing: food business licence and customs registration.
  • Import/export: customs and CIQ registration, plus foreign trade operator filing.
  • Shipping, freight forwarding and port services: transport authority approvals.
  • Construction or engineering services: qualification certificates.

Budget time for these. They are often the real critical path.

Banking, tax and visas after incorporation

Once the licence is issued, the operational work begins. Opening a corporate bank account in Zhanjiang usually requires the legal representative to attend in person, with the licence, seals, articles and identification. Banks apply enhanced due diligence to foreign-invested companies, so expect questions on shareholders, source of funds and expected transaction flows. Bring a clear business narrative and supporting contracts if you have them.

On tax, a new company registers with the local tax bureau and typically starts as a small-scale VAT taxpayer before considering general taxpayer status — a decision driven by your customers and whether they need special VAT invoices. Corporate income tax, VAT, stamp duty and individual income tax on salaries all apply. Engage a local bookkeeping firm from month one; late filings create avoidable penalties.

For people, the legal representative and foreign managers need work permits (外国人工作许可证) and residence permits. The process runs through the science and technology bureau and the public security exit-entry administration, and generally requires a degree, relevant experience and a clean health check. Dependants follow a separate route. Start visa planning in parallel with registration, not after it.

Common pitfalls to avoid

Most delays in Zhanjiang are self-inflicted. These are the patterns we see repeatedly.

  • Unprepared home-country documents. Missing apostille, wrong notary wording or an expired certificate stalls everything. Check legalisation requirements for your jurisdiction early.
  • Assuming Shenzhen service levels. Government counters and banks in Zhanjiang operate mainly in Mandarin; plan for a local adviser or bilingual staff.
  • Signing a lease before checking address eligibility. Not every property is accepted for your business scope.
  • Underestimating sector licences. The business licence is not the operating licence for food, transport or construction work.
  • Ignoring registered capital rules. The amount and contribution schedule in the articles are binding; foreign exchange remittance must match them.
  • Treating the RO as a trading entity. Representative offices cannot generate revenue.
  • Leaving tax compliance until later. Bookkeeping and filing obligations begin immediately after registration.

A cautious, document-first approach with a Zhanjiang-based adviser is worth more than speed. Verify current requirements with the AMR, tax bureau and your bank before you commit capital.

FAQ

FAQ

Can a foreign company own 100% of a Zhanjiang company?

Yes, for activities outside the national negative list for foreign investment. A wholly foreign-owned enterprise is registered with the Zhanjiang AMR after the foreign investment information filing. Restricted activities need a different structure or a Chinese partner.

How long does registration take?

There is no guaranteed timeline. The business licence itself can move quickly once documents are complete, but notarisation, legalisation, bank account opening and sector licences usually dominate the schedule. Ask your adviser for a sequence based on your specific business scope.

Do I need a physical office in Zhanjiang?

You need a registered address acceptable to the AMR — normally leased commercial premises with a property certificate. Some founders use serviced offices, but confirm eligibility with the district authority first, as on-site checks do occur.

Can a representative office invoice customers?

No. A representative office is a liaison presence and cannot earn revenue or issue invoices. If you intend to trade, contract or hire, register a WFOE or a joint venture instead.

What visas do foreign staff need?

Foreign managers and the legal representative generally need a work permit and a residence permit, handled through the science and technology bureau and exit-entry administration. Requirements include qualifications, experience and a health check. Dependants apply separately.
